Verified Dealer Agreement | CarOrbit Technologies

This Dealer Agreement is a legally binding commercial contract between CarOrbit Technologies and any business entity ("Verified Dealer") operating on our platform. By registering a Dealer Account, you explicitly accept all terms mapped out below.

1. Commercial Entity Status

You affirm that you are operating as a commercial business entity, not an individual consumer. As a Verified Dealer, you are required to comply with all regional business regulations, tax laws, and platform KYC verification protocols. CarOrbit Technologies reserves the absolute right to suspend or reject any dealer application without providing justification.

2. Pay-As-You-Go Wallet & Non-Refundable Credits

CarOrbit operates on a strict Pay-As-You-Go Wallet Model. You are charged a predefined credit amount exclusively when you choose to "unlock" a buyer or seller lead.

Strict Refund Rule: Once a contact is unlocked, the digital goods are considered delivered. Deducted wallet balances are strictly non-refundable, regardless of whether the buyer responds, changes their mind, or the deal falls through.

3. Anti-Bypass Penalties

CarOrbit Technologies heavily invests in connecting you with genuine leads. Any attempt to circumvent our platform fees is a direct violation of this agreement.

Lead Circumvention: You are strictly prohibited from using platform data to contact users outside the platform before officially unlocking the lead via your Wallet.
Zero-Tolerance Penalty: If our OS algorithms or manual audits detect offline bypassing, your Dealer Account will be permanently banned. Any remaining wallet balance will be confiscated as a penalty for breach of contract.

4. Platform Liability Immunity

CarOrbit Technologies acts solely as a technological intermediary connecting buyers and sellers with commercial dealers. We do not own, inspect, or guarantee any vehicle listed on the platform.

Physical Verification: It is your sole responsibility as a commercial dealer to physically verify the condition, paperwork, RTO status, and legal ownership of any vehicle before finalizing a transaction.
Financial Disputes: CarOrbit Technologies is completely immune to, and holds zero liability for, any financial defaults, payment frauds, or transaction disputes between you and the customer. You engage with leads entirely at your own commercial risk.

5. Dispute Resolution

All commercial disputes arising out of this Dealer Agreement shall be governed by the laws of India. Any legal action must be initiated exclusively within the jurisdiction of the courts located in our registered headquarters state.
